These Terms of Service ("Terms") are a legal agreement between you and Thumbnail AI ("Thumbnail AI", "we", "us", or "our") and govern your access to and use of our website, applications, APIs, and related services (collectively, the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account
You must be at least 13 years old to use the Service. You are responsible for all activity under your account and for keeping credentials secure. We may suspend or terminate accounts at our discretion for any violation, risk, abuse, or legal concern.
2. Service Scope
Thumbnail AI provides automated and AI-assisted thumbnail analysis and generation tools. Features may change, be delayed, fail, or be discontinued at any time without liability.
3. AI Reliability and Output Disclaimer
The Service uses probabilistic systems. Outputs can be incomplete, inaccurate, biased, unavailable, corrupted, or otherwise unsuitable. Failures to properly analyze content or to generate images may occur.
- No guarantee of quality, correctness, legality, performance improvement, or fitness for purpose.
- You are solely responsible for reviewing, validating, and approving all outputs before use.
- You assume all risk for decisions made using the Service.
4. Your Responsibilities
You agree to use the Service lawfully and responsibly. You are solely responsible for:
- All prompts, uploads, generated outputs, and downstream use.
- Securing rights and permissions for content you submit or publish.
- Maintaining backups of any content important to you.
- Any losses, claims, or damages arising from your use of the Service.
5. Prohibited Uses
You may not use the Service to violate law, infringe intellectual property or privacy rights, distribute unlawful or abusive content, interfere with system integrity, attempt unauthorized access, reverse engineer restricted components, or use the Service in a way that creates legal or operational risk for us or others.
6. Subscriptions, Billing, and Refund Policy
Some features require a paid subscription. By subscribing, you authorize recurring charges through our payment providers.
- All subscription fees are final and non-refundable, except where non-waivable law requires otherwise.
- Partial periods are not prorated unless required by law.
- Failed payments may result in suspension or termination of access.
- You are responsible for taxes, bank fees, and chargeback-related costs where legally permitted.
7. Third-Party Services
Thumbnail AI uses third-party providers for essential operations, including AI processing, hosting, analytics, and payments. Third-party services are outside our control and may impose independent terms.
- We may share your data with third parties as needed to provide the Service.
- We are not liable for third-party outages, errors, policy changes, or data handling.
- You are responsible for complying with third-party terms applicable to your use.
8. Intellectual Property
We and our licensors retain all rights in the Service, including software, branding, and platform content, except your content. You receive a limited, revocable, non-transferable right to use the Service in accordance with these Terms.
9. Your Content and License to Operate
You retain rights in content you submit, to the extent you have such rights. You grant us a worldwide, non-exclusive, royalty-free license to host, process, copy, modify for technical purposes, transmit, and display your content only as needed to operate, secure, improve, and support the Service.
10. Availability, Changes, and Beta Features
The Service is provided on an "as is" and "as available" basis. We may modify, limit, suspend, or discontinue any feature at any time, with or without notice. Beta or experimental features may be unstable and are provided without warranty.
11. Disclaimer of Warranties
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, accurate, or error-free.
12. Limitation of Liability
To the fullest extent permitted by law, Thumbnail AI and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, business, goodwill, or opportunities.
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of: (a) the total amount you paid to us in the 3 months before the event giving rise to liability, or (b) USD $100.
13. Indemnification
You agree to defend, indemnify, and hold harmless Thumbnail AI and its affiliates, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your content, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access immediately, with or without notice, for any reason. Upon termination, your right to use the Service ends, and we may delete or retain data as described in our Privacy Policy and as required by law.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable in the jurisdiction where the Thumbnail AI operating entity is established, without regard to conflict-of-law rules. You agree that disputes will be resolved exclusively in the competent courts of that jurisdiction, except where mandatory law provides otherwise.
16. Changes to These Terms
We may update these Terms at any time. Updated Terms are effective when posted unless stated otherwise. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
17. Miscellaneous
- If any provision is unenforceable, the remaining provisions remain in effect.
- Our failure to enforce any provision is not a waiver.
- We may assign these Terms in connection with merger, acquisition, or asset transfer.
- These Terms and the Privacy Policy are the entire agreement regarding the Service.
